Terms of Service

1. Who we are and what these terms cover
Greenroom (greenroom.stage5.com, the "Service") is a preproduction character-design studio operated by Stage5 Productions, LLC, a Texas limited liability company("Stage5", "we", "us"), located at 3267 Bee Caves Rd #154 Ste 107, Austin, TX 78746-9996, USA. The Service lets you explore character ideas on a branchable canvas with AI assistance, converge on a design, and export character sheets and related assets.
These Terms of Service (the "Terms") are a binding agreement between you and Stage5. By creating an account or using the Service you accept them. If you use the Service on behalf of a company, you represent that you can bind that company, and "you" means the company.
In these Terms, "Input" means content you submit to the Service (prompts, briefs, sketches, reference images, and other uploads), and "Output" means images, character sheets, and other assets the Service generates for you from your Input.
2. Eligibility
You must be at least 18 years old, or the age of majority where you live, to use the Service. We do not knowingly allow accounts for, or collect information from, children under 13. We may ask for proof of age and may close accounts that do not meet this requirement.
3. Accounts
You need an account with a verified email address (or Google sign-in) to use the studio. Keep your registration information accurate and your credentials confidential; you are responsible for activity under your account, and you must tell us promptly at support@stage5.com if you suspect unauthorized access.
One account per person. Creating additional accounts to circumvent usage limits, or pooling tokens or plan allowances across accounts, is prohibited.
4. Tokens, fees, and payment
Generations cost tokens. Plans are monthly or annual subscriptions that grant a daily token allowance, and token restocks are one-time purchases; current plans, allowances, and prices are shown on our pricing section and in the checkout before you pay.
Our order process is conducted by our online reseller Paddle (paddle.com). Paddle is the Merchant of Record for all orders: it processes payment, applies and remits applicable sales tax or VAT, issues receipts, and handles payment-related customer service. Your purchase is also subject to Paddle's Checkout Buyer Terms (paddle.com/legal/checkout-buyer-terms). We never see or store your card details.
Tokens are prepaid usage credits: they are not money or property, have no cash value except as described in the Refund Policy, are non-transferable, and cannot be exchanged between accounts. Your plan's daily allowance resets each day (UTC) and does not carry over; tokens from restocks and grants do not expire. Every generation shows its token cost before you run it; tokens are deducted when you submit a generation, and failed or safety-flagged generations automatically release their tokens back to your balance.
We may change plan prices, daily allowances, restock contents, and per-generation costs prospectively. Changes never affect tokens you already hold or generations you already ran, and subscription price changes take effect no earlier than your next billing period.
5. Refunds
Refunds are handled as described in our Refund Policy, which is part of these Terms. In short: you can cancel your plan any time, unused token restocks are refundable within 14 days, spent tokens are not, and approved refunds are processed by Paddle to your original payment method. Nothing in these Terms limits refund rights you have under applicable consumer law.
6. Your Input
You keep all rights you have in your Input. You grant Stage5 a non-exclusive, worldwide, royalty-free license to host, store, reproduce, and process your Input solely to operate, secure, and improve the Service, including sending prompts and reference images to our AI inference providers to run the generations you request. We do not use your Input or Output to train AI models, and we do not publish your projects; your canvas is private to your account.
You represent that you own or have the necessary rights to your Input, that it does not infringe anyone's intellectual property, privacy, or publicity rights, and that you have obtained any consents needed for content depicting real, identifiable people. Do not upload personal or sensitive information that the Service does not need.
7. Output and commercial use
Subject to these Terms and to payment of the applicable token costs, Stage5 assigns to you all of its right, title, and interest in the Output you generate, and you may use your Output for any lawful purpose, including commercially. This assignment does not apply to Output generated in violation of these Terms or through fraudulent payment.
You understand that AI-generated content may not be protectable by copyright in some jurisdictions, that similar prompts can produce similar results for other users, and that we do not warrant that any Output is unique, novel, or non-infringing. You are responsible for reviewing Output and for how you use it, including any labeling or disclosure obligations that apply to AI-generated content where you publish it.
8. Content policy (safe for work)
Greenroom is a safe-for-work service and AI safety filters stay enabled. Mature-but-legal artistic content, for example horror character designs, is allowed within the safety checker's tolerance. The following are not allowed: sexually explicit content; any sexualized depiction of minors, which we report where required by law; content that is illegal where you or we operate; and content intended to harass, defame, or deceive (including deceptive deepfakes of real people).
Generations flagged by the safety system release their tokens and show the reason. Repeated flags (3 within 24 hours) trigger a one-hour generation cooldown. Attempting to bypass the safety filters is a material breach of these Terms.
9. Acceptable use
In addition to the content policy, you must not:
- upload Input you have no right to use, or use the Service to violate any law or third-party right;
- probe, scan, overload, or disrupt the Service, or access it with bots or scrapers outside any documented API;
- reverse engineer the Service or attempt to extract its models, prompts, or source code, except where law grants that right;
- resell, rent, or share access to the Service or pool tokens across accounts;
- use Output to train, fine-tune, or seed a machine-learning model that competes with the Service;
- use the Service for high-risk automated decision-making, or in safety-critical systems such as weapons, medical devices, or vehicle control.
We may suspend or restrict accounts that violate this section, as described in section 15.
10. Our intellectual property and feedback
The Service itself, including its software, design system, interface, and branding, belongs to Stage5 and its licensors. These Terms give you a limited, non-exclusive, non-transferable right to use the Service; they transfer no ownership of it. If you send us feedback or suggestions, you grant us a perpetual, irrevocable, royalty-free license to use them without obligation to you.
11. Third-party services
The Service depends on third-party providers: Paddle for payments, fal.ai for AI inference, Google Cloud for hosting and storage, and Resend for transactional email. Their availability affects ours, and your data is processed by them as described in our Privacy Policy. We are not responsible for third-party websites or services we link to but do not control.
12. Availability, changes, and beta features
We work to keep the Service available but do not guarantee uninterrupted, error-free operation, and we may modify, add, or remove features. Features labeled beta or experimental are provided as is, may change or disappear without notice, and are used at your own risk. If we discontinue the Service entirely, we will give reasonable notice and refund unused purchased tokens.
13. Disclaimer of warranties
THE SERVICE AND ALL OUTPUT ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY. AI OUTPUT CAN BE INCOMPLETE, INACCURATE, OR UNSUITABLE FOR YOUR PURPOSE; YOU ARE RESPONSIBLE FOR EVALUATING IT BEFORE RELYING ON IT. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES, SO PARTS OF THIS SECTION MAY NOT APPLY TO YOU.
14. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, STAGE5 WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, OR FOR LOST PROFITS, REVENUE, OR DATA, ARISING FROM OR RELATED TO THE SERVICE, REGARDLESS OF LEGAL THEORY. STAGE5'S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF THE SERVICE IS LIMITED TO THE AMOUNT YOU PAID FOR THE SERVICE IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. THESE LIMITS DO NOT APPLY WHERE THEY CANNOT LAWFULLY BE EXCLUDED, INCLUDING LIABILITY FOR GROSS NEGLIGENCE, WILLFUL MISCONDUCT, OR NON-WAIVABLE CONSUMER RIGHTS.
15. Term, suspension, and termination
These Terms apply from your first use of the Service until your account is closed. You can stop using Greenroom and request account deletion at any time. We may suspend or close accounts that materially violate these Terms; where reasonable we will warn you first and give you a chance to cure.
If we close your account without cause, or you close it in good standing, we will refund unused purchased tokens on request. Tokens are forfeited without refund when an account is closed for fraud or material breach. Sections that by their nature should survive (including 7, 10, 13, 14, 16, and 18) survive termination.
16. Indemnification
You will defend and indemnify Stage5 against third-party claims and resulting costs (including reasonable attorneys' fees) arising from your Input, your use of Output, or your breach of these Terms or applicable law, except to the extent caused by our own breach.
17. Copyright complaints
If you believe content on the Service infringes your copyright, send a notice to support@stage5.com with: your signature; identification of the copyrighted work and of the allegedly infringing material and its location; your contact information; a good-faith statement that the use is unauthorized; and a statement under penalty of perjury that the notice is accurate and you are authorized to act. We will review, remove material where warranted, and accept counter-notices, consistent with the DMCA.
18. Governing law and disputes
These Terms are governed by the laws of the State of Texas, without regard to its conflict-of-law rules. Before filing a claim, both sides agree to try to resolve any dispute informally by contacting the other and negotiating in good faith for 30 days. Disputes that are not resolved informally will be brought exclusively in the state or federal courts located in Travis County, Texas, and both sides consent to their jurisdiction; either side may instead bring an individual claim in small-claims court. To the extent permitted by law, disputes must be brought individually and not as a class or representative action. If you are a consumer in a jurisdiction whose law gives you mandatory rights or a mandatory home venue, this section does not displace them.
19. Export controls and sanctions
The Service is subject to U.S. export control and sanctions laws. You may not use it if you are located in an embargoed country or are on a U.S. government restricted-party list, and you may not use it in violation of those laws.
20. Changes to these terms
We may update these Terms. Material changes will be posted on this page with a new "last updated" date, and for significant changes we will notify account holders by email or in the app before they take effect. Continuing to use the Service after a change takes effect means you accept the updated Terms; if you do not, stop using the Service and see section 15 for refunds of unused purchased tokens.
21. Miscellaneous
These Terms, the Refund Policy, and the Privacy Policy are the entire agreement between you and Stage5 about the Service. If a provision is unenforceable, the rest remains in effect. Our not enforcing a provision is not a waiver. You may not assign these Terms without our written consent; we may assign them in connection with a merger, acquisition, or sale of assets. Neither side is liable for delays caused by events beyond its reasonable control, except your payment obligations. These Terms create no third-party beneficiaries.
